Terms & Conditions
1. General:
Subscribers are granted a non-transferable right to access and utilize the Services exclusively for their internal business operations, subject to the terms of the Agreement. This includes the right to:
(a) View, copy, print, and/or download the Content within the guidelines outlined by the terms of Agreement.
(b) Generate derivative works from the Content or through its use, and share such derivative works internally, including with Affiliates and their employees, provided such use remains within the scope of the Agreement and excludes any external disclosure or redistribution.
2. Changes:
TradeInt reserves the right to amend or discontinue the Services, including the addition, removal, or modification of features, in response to changes in law, regulation, technology, or data availability. Subscribers will be notified of any material changes that may significantly affect access to or use of the Services.
3. Rights:
TradeInt grants the Subscriber a revocable, non-exclusive, and non-transferable license to use the Services solely for internal business purposes. All ownership and intellectual property rights in the Services, including any derivative works, remain vested in TradeInt and its licensors.
(a) View, copy, print, and/or download the Content;
(b) Generate derivative works from the Content or through its use. Subscribers may continue to use derivative works lawfully created during the Subscription Term for internal purposes following termination, provided no additional TradeInt data is incorporated thereafter.
4. Limitations and Restrictions on Use:
By accessing or utilizing TradeInt services, Subscribers agree to comply with the following limitations and restrictions on use. These restrictions apply to Subscribers, their authorized users, and any third party accessing or using the services.
(a) Program and Service Markings: Subscribers may not alter or remove any system markings, service marks, trademarks, or proprietary notices belonging to TradeInt, its affiliates, or licensors.
(b) Prohibited Activities: Subscribers may not engage in automated data collection, including but not limited to web scraping, data mining, or the use of robots, spiders, or other automated tools, without explicit authorization from TradeInt.
(c) Intellectual Property Rights: The TradeInt name and marks are protected. All content on the platform, including text, images, videos, and related materials, is protected by copyright, trademark, and other intellectual property laws. Unauthorized extraction, copying, or distribution is prohibited.
(d) Access Restrictions: Access to certain areas of the platform or services may be restricted or blocked for automated tools or abnormal data extraction behavior. Subscribers agree not to bypass these controls or attempt unauthorized access.
(e) Rate Limiting: TradeInt may apply rate limits to protect service stability and ensure fair usage. Subscribers agree to comply with these limits and not exceed them using automated methods.
(f) Non-Commercial Use: Licensing, selling, or making TradeInt services or data available to third parties for commercial exploitation is prohibited unless otherwise agreed. Unauthorized automated collection is strictly prohibited.
(g) Indemnification: Subscribers agree to indemnify and hold harmless TradeInt and service providers from damages, losses, or liabilities arising from unauthorized automation or any breach of these terms.
(h) Modification and Reverse Engineering: Subscribers may not modify, disassemble, decompile, reverse engineer, reproduce, republish, copy, or create derivative works from any part of the platform infrastructure or services.
(i) Framing and Mirroring: Framing or mirroring any part of the TradeInt service without permission is prohibited.
(j) Benchmarking and Testing: Benchmarking, vulnerability scanning, penetration testing, or other service testing without explicit authorization is prohibited.
(k) Interference: Subscribers may not use any device, software, or routine that damages or interferes with normal service operation.
(l) Abusive Queries: Abuse of service operations, including denial-of-service behavior or abusive query patterns, is prohibited.
(m) Competitive Services: Developing, supporting, or assisting in products or services that directly compete with TradeInt services is not permitted.
(n) Account Usage: Each subscription account is licensed for individual use. Sharing, transferring, or renting login credentials is prohibited. Each user must use their own credentials.
(o) Unlawful Use: Using the services for unlawful purposes or to harass or damage any person or property is prohibited. Violations may result in legal action and termination of service access.
(p) Termination of Access: TradeInt may terminate or suspend access for unauthorized data collection or any breach of these terms.
(q) Modification of Terms: These limitations and restrictions may be updated by TradeInt at any time. Subscribers are responsible for reviewing updated terms regularly.
5. No Refund Policy:
All subscriptions and services are provided on a license basis and are non-refundable. By subscribing to TradeInt services, Subscribers acknowledge and agree that no refunds will be issued for any reason, including unused services, partial usage, or dissatisfaction.
6. Disclaimers:
TradeInt does not guarantee the availability, quality, accuracy, integrity, or reliability of the services, which are provided "as is." TradeInt does not warrant error-free or uninterrupted services, or that services will meet Subscriber expectations. Except where prohibited by law, TradeInt and its licensors disclaim all express and implied warranties.
7. Limitation of Liability:
In no event shall TradeInt, its affiliates, or licensors be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or any loss of revenue, profits, business, data, goodwill, or reputation, even if advised of the possibility of such damages. TradeInt will also not be liable for compensation arising from:
(a) Inability of the Subscriber to use or access services due to:
– Suspension or termination of the Agreement;
– The Subscriber deciding not to use the services;
– TradeInt discontinuing any or all services;
– Force majeure events;
(b) Procurement of substitute goods or services;
(c) Any investment, cost, or commitment made by the Subscriber in connection with the Agreement.
In all cases, the total liability of TradeInt, its affiliates, and licensors arising from or related to the Agreement shall not exceed the total fees actually paid by the Subscriber for services during the twelve (12) months preceding the event giving rise to liability.
8. Indemnification:
Subscribers agree to defend and indemnify TradeInt from any claims arising from or related to:
(a) Any breach of this Agreement or applicable law by the Subscriber;
(b) Any materials provided by the Subscriber to third parties in violation of this Agreement;
(c) Any dispute with third parties caused by the Subscriber's violation of this Agreement. The Subscriber shall indemnify TradeInt, including its employees, officers, and directors, for resulting losses, liabilities, and reasonable legal fees.
9. Confidentiality:
Each party agrees to maintain the confidentiality of proprietary and confidential information disclosed under this Agreement, and to use such information only within the scope of the Agreement.
10. Force Majeure:
Neither party shall be liable for delays or failure in performance caused by events beyond reasonable control, including war, fire, flood, natural disaster, government restrictions, power or telecom outages, or acts of terrorism. If such an event continues for more than thirty (30) days, either party may cancel the unperformed portion of services.
11. Dispute Resolution:
Disputes shall be resolved through good-faith negotiations between the parties, with escalation to senior representatives when necessary.
12. Miscellaneous:
This Agreement may not be assigned without prior written consent. The parties are independent contractors and no partnership or agency is created. Failure to enforce any provision is not a waiver. This Agreement constitutes the entire agreement between the parties and supersedes prior agreements.
13. Definitions:
Any dispute regarding interpretation or enforcement of these terms shall be governed by the laws specified in the Agreement.
